1. Acceptance of Terms

By accessing or using any Hemexa website, application, service, or membership (together, the “Services”), you agree to be bound by these Terms & Conditions (“Terms”).

If you do not agree, you must not use the Services.

2. Who We Are

Hemexa Pty Ltd (ABN [insert]) (“Hemexa”, “we”, “us”, or “our”) provides a preventative health membership platform focused on biomarker testing, longitudinal health tracking, and informational insights.

Hemexa is not a medical practice, hospital, pathology provider, or insurer.

3. Eligibility

To use Hemexa, you must:

  • be at least 18 years old, or

  • have consent from a parent or legal guardian (where permitted), and

  • have legal capacity to enter into a binding agreement.

Employer-sponsored users must also be authorised by their employer to participate.

4. Nature of the Service

4.1 Informational, Not Medical Care

Hemexa provides:

  • health data aggregation,

  • biomarker visualisation,

  • trend tracking,

  • and informational insights.

Hemexa does not:

  • diagnose medical conditions,

  • provide medical advice,

  • prescribe treatments,

  • replace a doctor or healthcare professional.

Any insights, summaries, or AI-generated content are educational only and must not be relied upon as medical advice.

You should always consult a qualified healthcare professional before making health decisions.

5. Accounts and Memberships

5.1 Account Creation

You must provide accurate and complete information when creating an account and keep it up to date.

You are responsible for:

  • safeguarding your login credentials,

  • all activity under your account.

5.2 Membership Fees

Memberships may involve:

  • subscription fees,

  • testing fees,

  • add-on services.

Fees are disclosed at checkout and billed in advance unless otherwise stated.

5.3 Suspension or Termination

We may suspend or terminate accounts where:

  • fees are unpaid,

  • misuse occurs,

  • false information is provided,

  • the law requires it.

6. Pathology & Testing

Hemexa may facilitate access to third-party pathology providers.

Important clarifications:

  • pathology services are provided by independent third parties,

  • Hemexa does not control lab methodologies or accuracy,

  • test availability and turnaround times may vary.

You acknowledge that biological results may:

  • fluctuate naturally,

  • be affected by lifestyle, illness, or timing,

  • contain inherent measurement variability.

7. Assigned GP / ND Access

7.1 Authorised Access

You may assign a General Practitioner (GP) or Naturopathic Doctor (ND) to access your account.

By doing so, you:

  • explicitly authorise Hemexa to share your data with that provider,

  • acknowledge that Hemexa does not supervise or employ them.

7.2 Practitioner Independence

Assigned practitioners:

  • act independently,

  • are responsible for their own advice,

  • are not agents or representatives of Hemexa.

Hemexa is not liable for:

  • clinical decisions,

  • advice provided,

  • outcomes of practitioner interactions.

8. Employer-Sponsored Memberships

Where your membership is provided or subsidised by an employer:

  • your employer does not receive access to your identifiable health data,

  • employers may receive aggregated or de-identified insights only,

  • participation remains voluntary unless otherwise agreed separately.

Any employer-specific terms will be governed by a separate agreement.

9. AI and Automated Insights

Hemexa may use automated systems and AI-assisted tools to:

  • identify trends,

  • highlight changes over time,

  • generate summaries.

These outputs:

  • are probabilistic and informational,

  • may contain errors,

  • must not be interpreted as diagnoses.

You agree not to rely solely on automated insights for health decisions.

10. User Responsibilities

You agree:

  • not to misuse the Services,

  • not to attempt unauthorised access,

  • not to upload unlawful or misleading content,

  • not to use the platform for emergency or urgent medical situations.

In an emergency, contact local emergency services.

11. Intellectual Property

All Hemexa content, including:

  • software,

  • designs,

  • dashboards,

  • branding,

  • reports,

is owned by Hemexa or its licensors.

You receive a limited, non-exclusive, non-transferable licence to use the Services for personal purposes only.

12. Privacy and Data Use

Use of the Services is subject to our Privacy Policy, which forms part of these Terms.

By using Hemexa, you consent to:

  • collection and use of personal and health information as described,

  • secure storage and processing,

  • authorised sharing with labs and assigned practitioners.

13. Disclaimers

To the maximum extent permitted by law:

  • Services are provided “as is”,

  • we do not guarantee uninterrupted availability,

  • we do not warrant accuracy of third-party data.

Health outcomes are inherently uncertain.

14. Limitation of Liability

To the extent permitted by law:

  • Hemexa is not liable for indirect, incidental, or consequential loss,

  • liability is limited to the amount paid by you in the preceding 12 months.

Nothing in these Terms excludes consumer guarantees under Australian law.

15. Indemnity

You agree to indemnify Hemexa against claims arising from:

  • misuse of the Services,

  • breach of these Terms,

  • unauthorised sharing of access.

16. Changes to Services or Terms

We may:

  • modify features,

  • update pricing,

  • amend these Terms.

Continued use constitutes acceptance of updated Terms.

17. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

Courts of NSW have exclusive jurisdiction.
